The name of the Society is Conmicro Amateur Radio Society.
The purpose of the Society is to render public service and
advance the state of the amateur radio art through education in methods of
advanced digital communication.
Section 1. Eligibility. Any person holding an amateur radio
license issued by the Federal Communications Commission or its successor agency
is eligible for membership. Any such person may be elected to membership by
majority vote at any meeting of the Society.
Section 2. Term. The term of membership is for the life of
the member unless revoked by a two-thirds vote at any meeting of the Society,
provided all members have been given notice of the intent to revoke the
membership in the call of the meeting.
Section 3. Minimum number. There shall be no fewer than the
number of members required for an amateur radio club in paragraph 97.5(b)(2)
(or any corresponding paragraph) of the rules of the Federal Communications
Commission.
Section 1. Officers and duties. The officers of the Society
shall be President, Secretary, and Trustee. These officers shall perform the
duties prescribed by these bylaws and the parliamentary authority adopted by
the Society.
Section 2. President. The President shall act as the
principal officer of the Society. He shall sign all contracts, license
applications, and other obligations in the name of the Society.
Section 3. Secretary. The Secretary shall maintain copies of
all correspondence in the name of the Society, including any amateur radio club
station licenses issued in the name of the Society.
Section 4. Trustee. The Trustee shall serve as the trustee
of record for any amateur radio club station licenses issued in the name of the
Society.
Section 5. Terms of office. The officers shall serve until
their replacements are elected.
Section 1. Regular meetings. There shall be one regular
meeting per year, held during the month of March. The President shall select
the time and place of the meeting.
Section 2. Special meetings. The President or Trustee may
call special meetings. At least three daysŐ notice shall be given of such
meetings to all members, unless the membership waives such notice at the
special meeting.
Section 3. Quorum. Two members of the Society shall
constitute a quorum.
The Board of Directors shall consist of the President,
Secretary, and Trustee. The Board of Directors shall have general supervision
of the affairs of the Society between business meetings. The Board may not take
any action that conflicts with any action of the Society as determined by the
membership.
The membership, Board of Directors, or President may appoint
special committees as needed to perform the work of the Society. The President
shall be ex officio a member of all committees.
The rules contained in the current edition of RobertŐs Rules
of Order Newly Revised shall govern the Society in all cases to which they are
applicable and in which they are not inconsistent with these bylaws and any
special rules of order the Society may adopt.
These bylaws may be amended by a two thirds vote at any
meeting of the Society, provided that all members are given notice of the
amendment in the call of the meeting.
